Vancouver, British Columbia – April 22, 2022 – Cosa Resources Corp. ( CSE: COSA ) (CNSX:COSA.CN) (“ Cosa Resources ” or the “ Company ”) is pleased to announce that the Company has closed its previously announced non-brokered private placement (the “ Offering ”), pursuant to which the Company issued 5,600,000 common shares (each, a “ Share ”) at a price of $0.25 per Share and 1,714,285 flow-through common shares (each, a “ FT Share ”) at a price of $0.35 per FT Share for aggregate gross proceeds of $2,000,000.
The proceeds from the Offering will be used for future exploration work and general working capital purposes. The proceeds from the sale of FT Shares will be used for exploration expenditures on the Company’s exploration properties in Saskatchewan, which will qualify as “Canadian Exploration Expenses” and “flow-through mining expenditures”, as those terms are defined in the Income Tax Act (Canada), which will be renounced to the initial purchasers of the FT Shares with an effective date no later than December 31, 2022.
All members of management and the Board of Directors participated in the Offering and subscribed for an aggregate 426,070 common shares. Their participation is considered to be a "related party transaction" as defined under Multilateral Instrument 61-101 (" MI 61-101 "). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of the securities to be distributed under the Offering nor the consideration to be received for those securities, in so far as the Offering involves the insiders, exceeds 25% of the Company’s market capitalization. The Company did not file a material change report more than 21 days before the expected closing of the Offering as the details of the Offering and the participation therein by related parties of the Company were not settled until shortly prior to closing and the Company wished to close on an expedited basis for sound business reasons.
All securities issued pursuant to the Offering will be subject to a hold period expiring four months and one day from the date of closing. As consideration for services rendered in connection with the Offering, the Company paid to finders a cash finders’ fee of $27,450 and issued a total of 105,342 common share purchase warrants (each, a “ Warrant ”) entitling the holder thereof to acquire one common share in the capital of the Company for a period of two years from the date of closing of the Offering. 94,200 Warrants are exercisable at a price of $0.25 per common share and 11,142 Warrants are exercisable at a price $0.35 per common share.
